JWXStudio Terms

In addition to the terms and conditions found in the applicable Order Form or Insertion Order (in either case, the “Order Form”)  and the Terms of Service referenced therein (which may be the JWX SaaS Video Player Terms of Service or the Publisher Terms & Conditions, collectively, the “TOS”), Customer purchasing and using JWXStudio Services acknowledges and agrees to the following additional terms (the “JWXStudio Terms”), which shall be incorporated into the Order Form.  In the event of any conflict or inconsistency between the terms of the Order Form, these terms, and the TOS, the order of precedence shall be the Order Form highest, these JWXStudio Terms second, and the Terms of Service lowest.

Definitions

The following definitions apply to these JWXStudio Terms. Capitalized terms used in these JWXStudio Terms and not otherwise defined herein have the meanings assigned to such terms in the Order Form or TOS.

JWXStudio Services

The JWXStudio Services utilize artificial intelligence and machine learning technologies to generate, modify, and enhance content. Customer acknowledges that the JWXStudio Services process Input through third-party artificial intelligence, machine learning, and content services.

Output. Customer acknowledges and agrees that:

• (a) Output is generated through automated processes and may contain inaccuracies, errors, or unexpected results. Customer is solely responsible for reviewing, validating, and approving all Output before any use, publication, or distribution.
• (b) Output may incorporate Third Party Content. Customer's use of such content within Output is subject to applicable third-party terms, and Customer shall comply with all such terms.
• (c) Company makes no representations or warranties regarding the accuracy, completeness, originality, non-infringement, or fitness for any particular purpose of any Output.
• (d) Customer shall not use Output in any manner that violates applicable law, infringes the rights of any third party, or is harmful, misleading, or deceptive.

Use of Output. Customer may download or post Output to third-party social media or similar platforms. Customer is solely and completely responsible for its use of any Output, including, without limitation, for any downloading, posting, or other transmission of the same. To the extent Customer elects to post any Output on any third-party platform, Customer understands that such posting may be subject to additional terms and conditions established by the applicable platform, and that Customer is solely and completely responsible for ensuring its compliance with such terms. By downloading, posting, or otherwise transmitting any Output, Customer represents and warrants that such Output (i) does not violate any provision of these JWXStudio Terms or TOS, (ii) where posted to a third-party platform, does not violate any applicable platform terms, (iii) does not violate the intellectual property rights, rights of privacy or publicity, or other proprietary rights of any third party (except to the extent caused solely by incorporated Third Party Content), and (iv) is in full compliance with all applicable laws.

Input. Customer is solely responsible for all Input. Customer represents and warrants that:

• (a) Customer has all rights, licenses, consents, and permissions necessary to provide all Input to the JWXStudio Services and to authorize the processing and use of such Input as contemplated herein;
• (b) Input does not infringe, misappropriate, or violate any third party's intellectual property rights, rights of privacy or publicity, or other rights;
• (c) To the extent any individual is identifiable in the Input (including by image, video, or voice), Customer has obtained all consents required under applicable law for the processing, reproduction, modification, and use of such individual's likeness or voice by the JWXStudio Services; and
• (d) Input does not contain material that is unlawful, defamatory, obscene, or harmful to minors.

Voice Cloning. To the extent Customer provides voice recordings to the JWXStudio Services for voice cloning or voice generation purposes, Customer represents and warrants that:

• (a) Customer has all necessary rights, licenses, and consents to provide such voice recordings and to authorize the creation and use of cloned or synthetic versions of such voice;
• (b) If the voice recording is the voice of any individual other than Customer (or its authorized employees acting within the scope of their employment), Customer has obtained such individual's express, informed consent to the upload, processing, cloning, and use of their voice;
• (c) Customer shall not use the JWXStudio Services to clone or imitate the voice of any individual without proper authorization or in any manner that violates applicable law; and
• (d) Customer shall not use voice cloning features for biometric identification or for any activity intended to identify individuals based on unique biological, physiological, or behavioral characteristics.
  
  

Artificial Intelligence and Machine Learning Features

AI Models and Infrastructure. The JWXStudio Services and any Additional AI Features (defined below) utilize artificial intelligence models, algorithms, and infrastructure, including third-party AI services. As between Customer and Company, Company owns and controls all AI models, algorithms, architectures, infrastructure, and training data used to provide the JWXStudio Services and Additional AI Features. Customer receives no rights in or to any AI models or underlying technology. Customer's ownership of Output does not grant Customer any rights in the JWXStudio Services, AI models, or technology used to generate such Output.

Right to Modify. Company may modify, update, or replace any AI models or infrastructure at any time without notice. AI model updates may result in changes to Output characteristics or performance. Company has no obligation to maintain specific AI models or performance characteristics and shall have no liability for changes resulting from AI model updates.

Additional AI Features. From time to time and in its sole discretion, Company may make available certain artificial intelligence, machine learning, automated content analysis, or other algorithmically-driven features, tools, or capabilities (collectively, “Additional AI Features”) as part of the Services. Customer acknowledges and agrees that: (a) Additional AI Features may be provided on an experimental or limited-availability basis and are subject to modification at any time without notice; (b) Company makes no representations or warranties regarding the accuracy, completeness, reliability, or suitability of any outputs, recommendations, predictions, or results generated by Additional AI Features; (c) Customer is solely responsible for evaluating and verifying any content, insights, or recommendations generated by Additional AI Features before relying upon or implementing them; and (d) Customer’s use of Additional AI Features is entirely at Customer’s own risk and discretion.

Third Party Content

Third Party Content is provided to Customer as a convenience. Company makes no representations or warranties regarding the availability, accuracy, quality, reliability, or appropriateness of any Third Party Content, and Company disclaims all responsibility or liability with respect to Third Party Content or for any acts or omissions of the providers thereof.

Third Party Content is subject to the terms of use of the applicable third-party provider. Customer agrees to comply with all such terms and acknowledges that:

• (a) Customer receives no ownership or other rights in or to Third Party Content by virtue of Customer's use of the JWXStudio Services, other than the limited use rights set forth herein;
• (b) Customer may not use, extract, or distribute, on a standalone basis, any Third Party Content, or otherwise use Third Party Content for any purpose other than to create Output through the JWXStudio Services; and
• (c) Company may change, suspend, remove, or disable access to any Third Party Content at any time without notice or liability to Customer.

Customer's use of Third Party Content is at Customer's own initiative and risk. Customer is responsible for compliance with all applicable laws in connection with its use of Third Party Content, including but not limited to applicable local laws and privacy and data collection laws. If any third-party platform or service uses Output incorporating Third Party Content in a manner contrary to applicable third-party terms, Customer agrees to promptly remove such Output from the platform or service upon Company's request.

Customer agrees to indemnify and hold Company harmless from and against any costs, losses, or liability arising in any way from Customer's breach of any third-party terms applicable to Third Party Content or Customer's use of Third Party Content in violation of applicable law.

Restrictions

In addition to any other restrictions set forth in the TOS or Order Form, Customer shall not:

(a) Use the JWXStudio Services to generate content that is unlawful, harmful, threatening, defamatory, obscene, or that infringes any third party's rights;

(b) Attempt to extract, reverse engineer, or derive source code, model weights, training data, or underlying algorithms from the JWXStudio Services;

(c) Use the JWXStudio Services to develop competing AI models or services;

(d) Input any personal data into the JWXStudio Services except in compliance with the SaaS Video Player Data Processing Agreement and applicable data protection laws;

(e) Use any Third Party Content, or any Output incorporating Third Party Content, for machine learning, artificial intelligence training, or development of AI models or services;

(f) Use the JWXStudio Services to create deepfakes or content intended to impersonate, misrepresent, or falsely depict any individual, entity, or event as authentic or truthful;

(g) Use Output for inclusion in stock media or content libraries or in any platform or service that primarily offers stock or pre-licensed creative content;

(h) Use the JWXStudio Services or any voice cloning features for biometric identification or for any activity intended to identify individuals based on unique biological, physiological, or behavioral characteristics; or

(i) Present Output as human-created where disclosure of AI involvement is required by applicable law or where doing so would be deceptive or misleading.

Data Use

Company may collect, use, and analyze Usage Data. Company may use Usage Data to operate, maintain, improve, and develop the JWXStudio Services and Company's other products and services, including related models, algorithms, and features.

Customer's Input and Output may be retained by Company for the purpose of providing the JWXStudio Services. Customer may delete such Input and Output through the functionality provided in the JWXStudio Services, and upon such deletion, Company will remove such Input and Output from its active systems, subject to any retention required for backup, legal, or compliance purposes.

Intellectual Property

Company Property. As between Customer and Company, Company owns all right, title, and interest in and to the JWXStudio Services, including all software, technology, algorithms, and models, and all intellectual property rights therein. No rights are granted to Customer other than as expressly set forth herein.

Third Party Content Ownership. Ownership of any Third Party Content displayed or accessible through the JWXStudio Services, including all intellectual property rights to the foregoing, shall remain vested in the applicable third-party provider.

Customer Property. As between Customer and Company, but subject to the terms of this Section, Customer owns all Input and Output, except to the extent incorporating any Third Party Content. Customer is solely responsible for Input and Output, including any use, publication, or distribution thereof.

License to Content. Customer grants Company a non-exclusive, royalty-free license to use, reproduce, modify, and process Input for the purpose of providing the JWXStudio Services and generating Output. Customer represents and warrants that it has all rights necessary to grant this license. This license terminates upon termination of the applicable Order Form, except that Company may retain Input as set forth in the Data Use section.

Additional Disclaimers

WITHOUT LIMITING ANY DISCLAIMERS IN THE TOS, OUTPUT IS GENERATED BY AUTOMATED SYSTEMS AND MAY CONTAIN ERRORS OR INACCURACIES. CUSTOMER IS SOLELY RESPONSIBLE FOR REVIEWING AND VALIDATING OUTPUT BEFORE ANY USE. COMPANY DOES NOT WARRANT THAT ANY OUTPUT WILL BE ACCURATE, COMPLETE, ORIGINAL, NON-INFRINGING, OR FIT FOR ANY PARTICULAR PURPOSE.

Indemnification

In addition to Customer's indemnification obligations under the TOS, Customer will indemnify, defend, and hold harmless Company from and against all claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to: (a) Input provided by Customer, including any claim that Input infringes, misappropriates, or otherwise violates the rights of any third party; (b) Output to the extent based on Customer's Input or instructions; (c) voice recordings provided by Customer, including any claim that Customer lacked rights or consent to provide or use such recordings; (d) Customer's failure to review, validate, or obtain necessary rights or consents before using or distributing Output; and (e) Customer's breach of any third-party terms applicable to Third Party Content.

Compliance with AI Regulations

Customer and Company acknowledge that laws and regulations governing artificial intelligence are evolving and may impose disclosure or other obligations on providers and users of AI systems.

Customer Responsibilities. Customer is solely responsible for complying with any applicable legal requirements to disclose or label Output as AI-generated when Customer publishes, distributes, or makes Output available to third parties. This may include requirements to disclose deepfakes or AI-generated content in certain contexts, such as political advertising or content on matters of public interest.

Company Cooperation. Company will reasonably cooperate with Customer to address compliance with applicable AI regulations as they develop and become effective. Company makes no representations or warranties regarding Customer's compliance with AI-related laws.
