True Anthem Terms

In addition to the terms and conditions found in the Order Form and JWX Terms and Conditions at jwx.com/legal/terms-and-conditions (the “JWX Terms”), including the AI Addendum found at jwx.com/legal/ai-addendum (the “AI Addendum”), Customers purchasing and using the Services provided pursuant to the True Anthem entitlement (the “True Anthem Services”) acknowledge and agree to the following additional terms (the “True Anthem Terms”), which shall be incorporated into the Agreement.  In the event of any conflict or inconsistency between the terms of the Order Form, these True Anthem Terms, and the JWX Terms, the order of precedence shall be the Order Form highest, these True Anthem Terms second, the AI Addendum third and the JWX Terms lowest.

Capitalized terms used in these True Anthem Terms and not otherwise defined herein have the meanings assigned to such terms elsewhere in the Agreement, including the Order Form or the JWX Terms.

 

1.    Definitions

“Auto-Post” means any configuration of the True Anthem Services that selects, schedules, or publishes posts to a Social Platform without human review of the individual post prior to publication.

“Page Metadata” means the title, description, keywords, and other page attributes indexed by the True Anthem Services from Customer’s markup, excluding article body text and media files.

“Performance Data” means impressions, clicks, referrals, engagement, page views, and comparable measures of content performance.

“Social Platform” means any third-party social media, messaging, or content distribution service, and any related application programming interface or Customer account, to or through which the True Anthem Services transmit, schedule, or publish content on Customer’s behalf.

 

2.    Model Training

Notwithstanding the section titled “Training” in the AI Addendum, JWX may use Page Metadata and Performance Data to develop, train, tune, test, and improve the JWX’s predictive and classification models used to provide the True Anthem Services. For the sake of clarity, Page Metadata and Performance Data will not be used to train third-party AI providers’ underlying AI models. This section does not permit the use of article body text, media files, or Content Output to train or fine-tune any model. In any training set, such data is associated with content attributes and not with Customer, and no such model or model output identifies Customer. A current list of third-party AI providers used in connection with the AI Features is available at jwx.com/legal/ai-providers, as updated by JWX from time to time.

 

3.    Automated Publication

Customer is solely responsible for all human review of Auto-Posts. If Customer configures the True Anthem Services to Auto-Post, Customer is deemed to have reviewed, approved, and adopted each post so published for all purposes under the Terms and the AI Addendum, including the Customer Content representations and warranties, and is soley responsible for each such post.

Where Customer posts, transmits, or distributes Content Output to any third-party platform, Customer is responsible for compliance with the terms, policies, and guidelines of that platform (“Platform Terms”).

 

4.    Representation & Warranties

Customer represents and warrants that it owns or is authorized to use each Social Platform account it connects to the True Anthem Services, that it has authority to grant JWX the right to access such accounts and to transmit and publish content on its behalf, and that its use of the True Anthem  Services complies with the terms, policies, and guidelines of each Social Platform.

 

5.    Additional Disclaimers

In addition to Disclaimer of Warranties set forth in the JWX Terms and the AI Addendum, and to the maximum extent permitted by law, JWX MAKES NO REPRESENTATION OR WARRANTY THAT: (A) ANY POST WILL BE SUCCESSFULLY TRANSMITTED TO, ACCEPTED BY, PUBLISHED BY, OR REMAIN AVAILABLE ON ANY SOCIAL PLATFORM; (B) ANY SOCIAL PLATFORM WILL CONTINUE TO MAKE AVAILABLE THE APPLICATION PROGRAMMING INTERFACES, ACCESS, OR DATA ON WHICH THE PLATFORM AND SERVICES DEPEND, OR WILL NOT SUSPEND, RESTRICT, OR TERMINATE CUSTOMER’S ACCOUNTS; OR (C) ANY METRIC, PERFORMANCE DATA, OR ANALYTIC REPORTED THROUGH THE PLATFORM AND SERVICES IS ACCURATE OR COMPLETE, WHERE SUCH DATA IS OBTAINED FROM A SOCIAL PLATFORM, LINK SHORTENER, OR OTHER THIRD-PARTY SOURCE.

 

6.    Indemnification

In addition to Customer’s obligations of Indemnification set forth in the JWX Terms and the AI Addendum, Customer shall indemnify, defend, and hold the JWX Parties harmless from and against any Claims and resulting Losses arising out of or relating to, whole or in part, Customer’s: (a) breach of its restrictions or representations and warranties contained in these True Anthem Terms; (b) violation of applicable law or third‑party rights (including, without limitation, Intellectual Property Rights); and (c) gross negligence, willful misconduct, or fraud.

 

7.    Updates and Modifications

True Anthem Services Updates. We may update, modify, or discontinue the True Anthem Services at any time. We will provide reasonable notice of material changes that may affect your use.

True Anthem Terms Updates. We may update these True Anthem Terms from time to time. Continued use of the True Anthem Services after these updates constitutes acceptance of the revised terms. If we make material changes, we will post the updated these True Anthem Terms on this page with a ‘Last Revised’ effective date of the revisions.
