JWX Artificial Intelligence Addendum

This JWX Artificial Intelligence Addendum (the “Addendum”) is part of JWX’s Terms and Conditions (the “Terms”), available at jwx.com/legal/terms-and-conditions, and governs Customer’s use of the JWX artificial intelligence features. All provisions of the Terms apply to the AI Features and AI Output except as expressly modified in this Addendum. Capitalized terms used but not defined in this Addendum have the meanings given in the Terms. References in the Terms to Customer's representations, warranties, or obligations "under these Terms" include those in this Addendum.

 

1.    Definitions

 “AI Output” means any output produced by an AI Feature, including Content Output and Analytical Output, as described below:

"Analytical Output” means AI Output, other than Content Output, that the Services make available to Customer, including but not limited to scores, probabilities, rankings, similarity measures, classifications, configuration parameters or reports.

“Content Output” means AI Output that the Services make available to Customer as content for Customer’s review, editing, use or publication, including but not limited to text, audio, images, video, captions, transcripts.

“AI Providers” means third-party providers of artificial intelligence models.

The definition of “Confidential Information” in the Terms is hereby revised to include JWX-authored AI prompts, model configurations, taxonomies and classification schemas.

 “Customer Input” means the content, data, assets, metadata, configuration selections, instructions and prompts that Customer or its users submit to, or make accessible to, the Services. Customer Content that Customer submits or makes accessible to the Services is also Customer Input. 

“Service Logs” means records generated by the Services of system events, requests, inputs, outputs and performance, including Customer Input and AI Output captured in those records.

"Usage Data" means data related to Customer's use of the AI Features, including interaction data and data regarding Customer's decisions made within the AI Features.

 

2.    AI Features 

This Addendum applies to all AI Features and all AI Output that are included as part of the Services, whether or not Customer has enabled, requested, or purchased any product, service, feature or entitlement explicitly identified as incorporating an AI Feature. AI Features may operate automatically as part of the Services, including at upload, ingest, or delivery, without any request or action by Customer and JWX may apply AI Features to any or all Customer Input or AI Output.

The AI Features may be provided using third-party AI services. JWX may add, modify, or discontinue AI Features, and the models, providers, and methods used to provide them, at any time without notice. JWX may modify AI functionality to improve performance, security, compliance, or functionality. A current list of third-party AI providers used in connection with the AI Features is available at jwx.com/legal/ai-providers, as updated by JWX from time to time.

 

3.    Customer Input

As between the parties, and subject to any third-party rights therein, Customer retains all right, title, and interest in and to Customer Input. Customer hereby grants JWX, its subprocessors, and its AI Providers a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, fully paid, sublicensable license to use, create derivative works, host, store, modify, communicate, and publish Customer Input as necessary or otherwise to the extent required by the AI Providers to provide, secure, monitor, and support the Services.

 

4.    Output

Content Output. Content Output is generated by the Services. Effective upon Customer’s acceptance, adoption, editing, use, or publication of any Content Output, JWX hereby assigns to Customer all right, title, and interest JWX holds in that Content Output, and that Content Output constitutes Customer Content under the Terms.

License. JWX owns all Analytical Output and retains such ownership following expiration or termination of this Agreement. JWX grants Customer a non-exclusive, royalty-free license during the Term to use Analytical Output for Customer’s own internal business purposes. Customer shall not resell, sublicense, or make Analytical Output available as a standalone product or service to any third party.

Customer acknowledges and agrees that:

(a)    AI Output is generated through automated processes and may contain inaccuracies, errors, or unexpected results. Customer is solely responsible for reviewing, verifying, correcting, and approving any AI Output before relying on, implementing, publishing, or otherwise using it.

(b)    Customer retains editorial control of and responsibility for all Content Output.

(c)    It is Customer’s responsibility to comply with any laws or regulations requiring consent, disclosure or notification of the use of AI Features to generate Content Output.

(d)    Due to the nature of AI Features, Customer acknowledges that Outputs provided to Customer may be similar or identical to Outputs independently provided by JWX to other customers and/or users.

 

5.    Data Use

Training. Except as expressly provides otherwise, JWX does not use Customer Input or Content Output to train or fine-tune any artificial intelligence or machine learning model.

Usage Data. Company may collect, use, and analyze Usage Data. Company may use Usage Data to operate, maintain, improve, and develop the AI Features and Company's other products and services, including related models, algorithms, and features. 

Service Logs. JWX may generate, transmit, store, and retain Service Logs for security, abuse prevention, debugging, support, audit, and improvement of the Services, in accordance with JWX’s retention practices. Customer Input and AI Output captured in Service Logs remain subject to the section titled “Customer Content” in the Terms and, where applicable, the DPA. JWX has no obligation to generate, retain, return, delete on request, or make Service Logs available to Customer and makes no commitment as to any retention period.

 

6.    Restrictions

Except as expressly permitted by this Agreement, Customer shall not, and shall not encourage or assist others to:

(a)    Use any AI Output in any manner that violates applicable law, infringes the rights of any third party, or is harmful, misleading, or deceptive;

(b)    Remove, alter, degrade, or obscure any provenance metadata, watermark, or detection signal applied by JWX or its AI providers, whether applied voluntarily or as required under applicable law;

(c)    Use any AI Features to generate content that violates the restrictions in this section or the Customer Content standard set forth in these Terms;

(d)    Attempt to extract, reverse engineer, derive, or discover any model, prompt, parameter, configuration, or other underlying technology of any AI Feature;

(e)    Use any AI Feature or AI Output to develop, train, fine-tune, or benchmark any competing model, product, or service;

(f)    Input any personal data into any AI Feature except in compliance with the JWX Data Processing Addendum and applicable data protection laws, and in no event input any Sensitive Data or personal information of any individual under 16;

(g)    Circumvent or attempt to circumvent any safety filter, guardrail, or content control applied by JWX or any AI provider, or systematically harvest AI Output;

(h)    Use the AI Features for automated decision-making or for other processes that have legal or similarly significant effects on individuals, unless it does so with adequate human review and in compliance with all applicable laws;

(i)    Use any AI Feature or AI Output to make, or to materially influence, any decision regarding an individual’s employment, credit, housing, insurance, education, healthcare, or access to essential services; or

(j)    Represent any Output as being an original work or a wholly human-generated work, or as being approved or vetted by JWX.

 

7.    Representations & Warranties

Customer represents and warrants that:

(a)    it holds all rights, licenses, releases, consents, and permissions necessary to submit or make accessible all Customer Input and for JWX and AI Providers to process it, and including with respect to any identifiable individual appearing or audible in any Customer Input;

(b)    it holds the rights, licenses, consents, and permissions described in clause (a) from its own end users and from any other person whose content or data is included in Customer Input, on terms sufficient to permit JWX to grant the license in Section 3 (Customer Input), including onward grants to AI Providers.

(c)    Customer Input does not infringe, misappropriate, or violate any third party's intellectual property rights, rights of privacy or publicity, or other rights;

(d)    the Customer Input does not constitute Prohibited Content;

(e)    all Customer Content that consists of or incorporates Content Output that Customer has accepted, adopted, edited, used, published, or distributed complies with the Customer Content representations and warranties and content standards set forth in the Terms;

(f)    its use of the AI Features and its publication, distribution, and use of any AI Output complies with applicable law, including applicable AI transparency, disclosure, labeling, and accessibility requirements; and

(g)    it has made, and will continue to make, all disclosures and apply all labels required under applicable law in connection with any AI Output it publishes or distributes.

 

8.    Disclaimer of Warranties

Except as expressly set forth in this Addendum and to the maximum extent permitted by law, the AI Features and AI Output are provided “as is” and “as available.” Without limiting the foregoing:

OUTPUT. AI OUTPUT MAY BE INACCURATE, INCOMPLETE, OR BIASED. JWX MAKES NO REPRESENTATION OR WARRANTY THAT ANY AI OUTPUT IS ACCURATE, COMPLETE, CURRENT, RELIABLE, ORIGINAL, UNIQUE, OR NON-INFRINGING, OR THAT IT IS FIT FOR ANY PARTICULAR PURPOSE. JWX MAKES NO COMMITMENT AS TO THE AVAILABILITY OR CONTINUITY OF ANY AI FEATURE, ANY MODEL, OR ANY PROVIDER. CLAIMS OF INTELLECTUAL PROPERTY INFRINGEMENT OR MISAPPROPRIATION BY OUTPUT ARE NOT INCLUDED IN THE COVERED THIRD-PARTY CLAIMS FOR INDEMNIFICATION BY JWX UNDER THE APPLICABLE AGREEMENT BETWEEN JWX AND CUSTOMER.

CLASSIFICATIONS, LABELS, AND SCORES. WHERE AN AI FEATURE PRODUCES CLASSIFICATIONS, LABELS, OR SCORES, THOSE OUTPUTS ARE PROBABILISTIC AND ARE PROVIDED FOR CONTENT ORGANIZATION, DISCOVERY, INVENTORY CURATION, AND ADVERTISING TARGETING PURPOSES ONLY. THEY DO NOT CONSTITUTE CONTENT REVIEW OR MODERATION, OR ANY DETERMINATION OF LEGALITY, SUITABILITY, OR BRAND SAFETY. JWX HAS NO OBLIGATION TO REVIEW, ACT ON, FLAG, ESCALATE, OR REMOVE ANY CONTENT ON THE BASIS OF ANY AI OUTPUT.

TRANSCRIPTS AND CAPTIONS. WHERE AN AI FEATURE PRODUCES TRANSCRIPTS OR CAPTIONS, THEY ARE MACHINE-GENERATED DRAFTS, ARE NOT VERBATIM OR CERTIFIED TRANSCRIPTIONS, AND JWX MAKES NO REPRESENTATION THAT THEY SATISFY ANY ACCESSIBILITY STANDARD OR REQUIREMENT.

SELECTION, RANKING, AND RECOMMENDATION. ANALYTICAL OUTPUT, INCLUDING CONTENT SELECTION, RANKING, AND RECOMMENDATION OUTPUTS, ARE DELIVERED AUTOMATICALLY WITHOUT HUMAN REVIEW AND CARRY NO GUARANTEE OF RELEVANCE, ENGAGEMENT, RETENTION, OR REVENUE.

 

9.    Indemnification 

In addition to Customer’s obligations of Indemnification set forth in the JWX Terms, Customer shall indemnify, defend and hold the JWX Parties harmless from and against any Claims and resulting Losses arising out of or relating to, in whole or in part, Customer’s: (a) breach of its restrictions or representations and warranties contained in this Addendum; (b) violation of applicable law or third‑party rights (including, without limitation, Intellectual Property Rights); and (c) gross negligence, willful misconduct, or fraud.

 

10.    Other Terms

Customer’s use of the Services may include access to JWX Content Studio, which incorporate additional AI Features. The use of JWX Content Studio is subject to the JWX Content Studio Terms, available at jwx.com/legal/content-studio-terms and incorporated by reference herein. 

Customer’s use of the Services may also include access to True Anthem, which incorporate additional AI Features. The use of True Anthem is subject to the True Anthem Terms, available at jwx.com/legal/true-anthem-terms and incorporated by reference herein.

 

11.    Updates and Modifications

AI Features Updates. We may update, modify, or discontinue AI Features at any time. We will provide reasonable notice of material changes that may affect your use.

AI Terms Updates. We may update this Addendum from time to time. Continued use of AI Features after these updates constitutes acceptance of the revised terms. If we make material changes, we will post the updated Addendum on this page with a ‘Last Revised’ effective date of the revisions.
